These terms and conditions (“terms”) are the agreement between you and Nepali Theme (“we”, “us”), at Chabahil-7, Kathmandu. They apply when you use nepalitheme.com and when you hire us for websites, mobile apps, WordPress themes and plugins, hosting, domains, branding or digital marketing. By using this website or accepting a quotation from us, you agree to them.

Who we are and what these terms cover
Nepali Theme is an IT company registered in Nepal. These terms cover browsing this website and using its chat assistant, cost estimator, booking and contact forms; the client area; and every service we deliver. A quotation or written agreement for your project can add details to these terms. If the two disagree, the quotation or agreement applies to that project.
Using this website
You may browse, read and share our pages. Please do not copy our designs, text or code to resell them; try to break into the website, the client area or our servers; send spam, harmful files or false details through our forms; or use bots that scrape or overload the website.
Answers from the chat assistant and prices from the cost estimator are general information to help you plan. They are not an offer. Only a quotation sent by our team is an offer.
Quotations and starting a project
Every project starts with a quotation that lists the work, the price, the timeline and the payment schedule. A quotation is valid until the date written on it. You accept it by signing it online, confirming in writing, or paying the advance.
Work outside the quotation, such as new pages, extra features or a change of direction, is quoted separately and starts only after you approve it.
Prices, VAT and payments
Prices are in Nepali rupees (NPR) unless the quotation says otherwise. VAT at the rate set by Nepal’s law (currently 13%) is added where it applies, and we issue a bill for every payment.
Unless your quotation sets a different schedule, we ask for an advance before work begins and the balance before the website goes live or the files are handed over. You can pay by bank transfer, eSewa, Khalti, a QR payment or at our office. Instalments are possible when agreed in writing.
If a payment is more than 15 days late after a reminder, we may pause the work, and we may suspend hosting after giving you notice. Everything restarts as soon as the payment is cleared.
Timelines and your part in the project
Our timelines depend on receiving what we need from you on time: content, photos, logins, approvals and feedback. If something arrives late, the delivery date moves by the same number of days. Each quotation includes a set number of revision rounds; extra rounds are charged at our normal rate.
Before launch, please check the work carefully. When you approve it, or 7 days after delivery without comments, the work counts as accepted.
Hosting, domains and email
We aim to keep hosting online all the time and take regular backups, but no provider can promise 100% uptime. We announce planned maintenance in advance whenever we can.
Domains are registered in your name or your company’s name, and you are the owner. Hosting, domains and email renew every year at the price on your renewal invoice, and we remind you before the renewal date. If a renewal is not paid, the service can stop, and an expired domain can be lost after the registry’s grace period.
Hosting may not be used for illegal content, spam, malware, gambling or anything that harms our servers or other customers.
WordPress themes, plugins and licences
When you buy one of our themes or plugins, you get a licence to use it on the number of websites stated in your order, with updates and support for the period stated. Licence keys are linked to your domain. WordPress code is shared under the GNU General Public License where that licence applies; our designs, images, brand names and licence service are not covered by it.
Who owns the work
Once you have paid in full, you own the final website, app, design files and content we made for you. Until then, the rights stay with us.
We keep the rights to the tools, code libraries and know-how we use across projects, and you get a lasting right to use them as part of your project. Third-party items such as fonts, stock photos and premium plugins follow their own licences.
We may show your finished project in our portfolio and on social media. Tell us in writing if you would rather we did not.
Your content and responsibilities
You confirm that you own, or have permission to use, the text, images, logos and data you give us, and that your website will follow Nepal’s laws, including the Electronic Transactions Act, 2063 (2008) and the Individual Privacy Act, 2075 (2018). You are responsible for what you publish and for the information you collect from your own visitors.
Support and fixes after launch
After launch, we fix errors in the work we delivered free of charge for 30 days, unless your quotation says otherwise. After that, support and changes are charged at our normal rate or covered by a maintenance plan. Problems caused by changes made by others, by plugin or server updates outside our control, or by hacking after handover are not covered by the free period.
Cancellations and refunds
You may cancel a project at any time by telling us in writing. You pay for the work done up to that day, and any advance above that amount is refunded within 15 working days. Domain registrations, third-party licences and hosting time already used cannot be refunded.
We may end a project if payments stay unpaid after reminders, or if the work would break the law. You then pay for the work done so far and receive the files you have paid for.
Limits of our responsibility
We do our work with care and skill. We are not responsible for indirect losses, such as lost profit, data or business, or for problems caused by third-party services, internet outages or events beyond our control, such as natural disasters, strikes, bandhs and power cuts. Our total responsibility for any claim is limited to the amount you paid us for the service concerned in the 12 months before the claim. Nothing here limits rights that Nepal’s law, including the Consumer Protection Act, 2075 (2018), does not allow us to limit.
